TERMS & CONDITIONS OF ADVERTISING AGREEMENT
AGREEMENT
1.01 - This agreement constitutes a contract between the “The Advertiser” and Sail South Pacific Ltd, “SSP” to provide advertising content and to place said content in the advertisers app based medium as described above and as set out in the Sail South Pacific Media Production Kit.
1.02 - This agreement comes into force upon either signing of the agreement or by clicking the Submit button on the form.
WARRANTY
2.00 - The Advertiser hereby states that the Advertising Agreement has been completed and either signed or submitted by;-
In the Case of a registered company - By a duly authorised person having the authority to bind the Advertiser.
In the Case of a sole trader or partnership - By a person with the authority to sign for the Advertiser.
ADVERTISING CONTENT
3.01 - The Advertiser agrees to provide all Advertising Content a minimum of 10 days prior to the start of the quarter stated above.
3.02 - SSP is under no obligation to but may at their discretion notify the Advertiser of an upcoming deadline. It is the Advertisers sole responsibility to meet any deadline.
3.03 - Should the Advertiser fail to provide said Advertising Content by the due date the Publisher may at their sole discretion;-
In the case where this is the first submission of Advertising Content by the Advertiser, move the deadline date out to the next quarter but keep the term as above.
Where an advertiser has existing advertising, continue to display the existing Advertising Content until the Advertiser provides amended Advertising Content.
PRICE & PAYMENT
4.01 - The Advertiser shall pay the amount stated in the Advertising Agreement without deduction no later than 7 days after signing this agreement.
4.02 - Where the term of the contract is more than one year SSP will invoice the Advertiser prior to the anniversary of signing. The Advertiser agrees to pay the amount stated as per 4.01
4.03 - SSP may at their discretion do a credit check on the credit worthiness of the Advertiser. The Advertiser warrant that the information given above is accurate. SSP may seek additional information for the purpose of creditworthiness. The Advertiser at any time may ask to see such detail. If the detail is incorrect SSP will correct it.
4.04 - The Advertiser accepts said information may be passed on to credit agencies or debt collection agencies in the event the Advertiser fails to meet his payment obligations and accepts that any cost in collection will be paid by the Advertiser.
CANCELATION
5.1 - The Advertiser may not cancel the Agreement to Advertise unless a settlement suitable to SSP is agreed and a payment made that compensates SSP for loss of revenue and or work done.
5.2 - SSP have a no cancellation policy if any notification of Cancellation is received after the end of the third quarter from the date of signing of the Advertising Agreement in the case of a two year term.
QUALITY OF ADVERTISING CONTENT
6.01 - SSP reserves the right to decline any Advertising Content they deem either offensive or derogatory.
6.02 - SSP further reserves the right to decline Advertising Content that does not meet the criteria set out in the Sail South Pacific Media Production Kit.
6.03 - The Advertiser grants SSP licence to use all logos and content provided. If the Advertiser has specific conditions of use these should be provide with the above mentioned Logos and content.
6.04 - In the case where SSP are providing Graphic Artwork services the Advertiser will be asked to approve the work prior to publication.
DISCLAIMER
7.01 - SSP will take all steps to ensure placement of the Advertisers Content in the platforms requested by the date stated above but accepts no liability for errors or omissions in the content placed.
7.02 - SSP is further not responsible or takes any liability for delays caused by any third party involved in getting the platforms to market.
8. - The Advertising Agreement above forms part of the TERMS & CONDITIONS OF ADVERTISING AGREEMENT.
