1. Content and Intellectual Property
The Presenter warrants and represents that all material in the Event prepared and submitted by you hereunder will be original and will not infringe any copyright, invade any right of privacy, contain any libellous material, or infringe or violate any other right of any other person or entity.
The Presenter will indemnify and hold harmless AHC and its licensees from any claim, suit, damage, loss or expense (including legal fees) arising out of any breach or allegation, which if true would constitute a breach of the foregoing warranties or representations.
The content and intellectual property of this recorded webinar is owned by you, the presenter. AHC retains a copy of the recorded webinar, and will use this version only for the purpose of this agreement. The Presenter gives AHC the rights to share PowerPoint presentations (in .pdf format) and other related resources, etc. as provided by you.
A .pdf copy of the presentation slides and any additional resources will be provided to the purchaser once payment has been received. In addition to the Terms of Use outlined on the AHC website, customers will be reminded that they will be in breach of AHC's Terms of Use if they disseminate this information.
The Presenter is prohibited from proactively soliciting business and marketing their product/s during the Event. This includes the presentation of sales and/or marketing materials that state or indicate that the presenter is soliciting new business. Unless otherwise agreed with AHC.
A presenter that proactively solicits business and markets their product/s during the Event, will violate the terms of this agreement and may be held liable for monetary damages to the brand and reputation of AHC.
2. Responsibilities
Responsibilities of Allied Health Central
In any publication of the Event, AHC may, and may authorise others, to identify and credit you. AHC may use or authorise the use of your name in connection with marketing of the Event.
AHC will manage the Event administration and marketing.
All payments to suppliers, is the ultimate responsibility of AHC.
Payments will be made at the end of each quarter, ie. Mar, Jun, Sep and Dec of the respective year.
AHC will ensure the Event is expired as per this agreement and will not continue to sell the product past this date.
AHC will house this product on a secure online webinar platform to ensure purchase of product is the only way to attain the product.
AHC will manage the access for each purchase. Access is managed by password only, and permission and access expire after four (4) weeks.
Responsibilities of the Presenter
The day of the Event, you will login to the webinar platform at an agreed time. You will be in a quiet location, free of disturbances. Notification with the link for the Presenter to login to the webinar platform will be sent to the Presenter 48 hours prior to the scheduled recording time.
You will provide appropriate PowerPoint presentation and resources for the webinar.
PowerPoint and additional resources are to be submitted to AHC one week (7 days) prior to the recording of the webinar for dissemination to customers.
AHC may ask you for assistance in questions that come through directly related to the recorded webinar.
The Presenter agrees to 'top and tail' the PowerPoint presentation with AHC’s template slides, which include a Disclaimer.
3. Cancellation
Both parties reserve the right to cancel the product for purchase at any point in time. It is the responsibility of the party cancelling the product for purchase to advise the other, providing a reasonable explanation in writing.
4. Independent Contractor
This agreement is not to be construed as an employment agreement in any way. The Presenter functions as an independent contractor.
5. Presenter Payment
AHC will pay the Presenter 50% of total income for duration of product availability. Recorded webinar fees are outlined below:
- Purchase fee for 1 x up to 1 hour webinar is $25
- Purchase fee for 1 x up to 1.5 hour webinar is $35
- Purchase fee for 1 x up to 2 hour webinar is $50.
AHC will advise on a quarterly basis of the total number of purchases for that quarter.
It is your responsibility to provide AHC with a tax invoice within 14 days of receiving the quarterly purchase advice information.
a. This invoice must include the Presenter’s ABN:

complete an 'ATO Statement By A Supplier' form
AHC will issue payment to you, within 14 days of receipt of the tax invoice.
